These Terms and Conditions (hereinafter referred to as “T&C”) define the rules governing all sales and deliveries of goods by UVAS Sp. z o.o., based in Poland (hereinafter referred to as “the Seller”), to its clients (hereinafter referred to as “the Buyer”).
The T&C form an integral part of every sales agreement, quotation, or order confirmation issued by the Seller. Any modification or deviation from these Terms requires the Seller’s written consent.
By placing an order with the Seller, the Buyer confirms acceptance of these Terms and Conditions and waives the right to apply any of its own purchasing terms.
The Seller sells its goods exclusively to business clients (B2B), not to consumers.
Each transaction is subject to individual arrangements between the Buyer and the Seller, including the type of goods, quantity, price, delivery method, date, and any specific requirements related to expiration dates or documentation.
Orders may be submitted by email or by phone. Telephone orders must be confirmed by email within 24 hours.
Email orders should be sent to export@uvas.com.pl or to the designated contact person within the UVAS team.
Upon request, the Seller will provide the Buyer with the relevant contact details of the assigned account representative.
Requests for additional documents (such as certificates of origin, health certificates, EUR.1 forms, etc.) must be made in writing at the order confirmation stage. If not requested at that time, the Seller is not obligated to provide them later.
Prices are agreed individually for each transaction and are exclusive of VAT unless stated otherwise.
The payment terms and due dates are stated on the proforma invoice or invoice issued for each order.
Payment shall be considered made on the date funds are received in the Seller’s bank account.
The Seller reserves the right to require a deposit of up to 20% of the order value to reserve goods.
In case of payment delay, the Seller may charge statutory interest for each day past the due date.
If the Buyer fails to collect or pay for the order as agreed, any advance payment may be retained by the Seller as compensation for incurred costs.
Bank account details for payment will be stated on the invoice or proforma invoice.
Goods are dispatched from the Seller’s warehouse located in Młyny, Poland (or another facility indicated by the Seller).
Unless otherwise agreed, transportation and pallet costs are borne by the Buyer and itemized on the invoice.
If the Buyer arranges their own transport, they must provide the Seller with all necessary collection details (driver’s name, vehicle and trailer numbers, and—if applicable—border crossing and container numbers).
The Seller is responsible for export customs clearance unless agreed otherwise.
The Buyer will be informed by email or phone about the planned delivery date and shipping details.
Risk of loss or damage passes to the Buyer once the goods are handed over to the carrier or the Buyer’s representative.
Ownership of the goods remains with the Seller until full payment has been received.
The Buyer must collect the ordered goods on the agreed date. In case of delay, the Seller may charge a storage fee of EUR 5 per pallet per day. After 30 days, the Seller may cancel the order and claim compensation for related losses.
The Buyer confirms that they operate as a registered business and, if applicable, hold a valid VAT number.
Buyers based outside the EU confirm that they are registered for local tax purposes in their country and agree to notify the Seller immediately of any change in status.
The Buyer confirms that they are not in default of any financial obligations or under bankruptcy proceedings at the time of placing the order.
The Buyer agrees to receive invoices, credit notes, and other commercial documents electronically from the domain @uvas.com.pl.
The Buyer agrees to promptly inform the Seller of any change in company details, address, legal status, or other information relevant to ongoing transactions.
The Buyer undertakes to use the purchased goods lawfully, either for resale or internal business purposes.
The Seller’s liability for any damages related to an order is limited to the value of the goods concerned.
The Seller is not responsible for indirect losses, loss of profit, or damages resulting from handling, transport, or misuse of the goods by the Buyer or third parties.
Complaints regarding visible defects or shortages must be reported within 48 hours of delivery.
The Seller reserves the right to verify reported complaints before accepting liability.
Any commercial, logistical, or technical information obtained during cooperation between the parties is considered confidential and may not be shared with third parties.
This obligation remains valid after the end of cooperation, except where disclosure is required by law.
The Buyer agrees not to use confidential information for any purpose other than executing agreements with the Seller.
All agreements and transactions with the Seller are governed by Polish law.
Any disputes shall be settled by the court having jurisdiction over the Seller’s registered office.
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in effect.
The current version of these Terms and Conditions is available on the Seller’s website and may be updated at any time without prior notice.
